Terms of Service
Effective: April 30, 2026
These Terms of Service ("Terms") govern your access to and use of the KAiZAI platform and related services (collectively, the "Service") operated by KAiZAI LLC ("KAiZAI," "we," "us"). By creating an account, using a free trial, or accessing the Service, you ("Customer," "you") agree to these Terms. If you're agreeing on behalf of a company, you represent that you have authority to bind that company to these Terms.
1. The Service
KAiZAI is a governance layer between AI agents and your enterprise services. The Service includes the platform, dashboards, APIs, documentation, and any updates we make to it. Each Customer receives a dedicated tenant accessible at a subdomain of kaizai.io.
We may update, improve, or change the Service at any time. We will give reasonable notice for material changes that reduce functionality. Beta or experimental features may be added and removed without notice and are provided as-is.
2. Definitions
- Customer Data means data you or your Authorized Users submit to the Service, including prompts, responses, configurations, and metadata.
- Authorized User means an employee, contractor, or agent of yours that you provision to use the Service through your tenant.
- Subscription means a paid plan you purchase through our pricing page or a written order form.
- Trial means a time-limited evaluation of the Service offered without charge.
3. Accounts and Authorized Users
You are responsible for maintaining the confidentiality of credentials and for everything that happens under your tenant. You must ensure your Authorized Users comply with these Terms. We may suspend or terminate accounts engaging in Prohibited Conduct (Section 7).
You agree to provide accurate signup and billing information and keep it current. You are responsible for tax registration where applicable in your jurisdiction.
4. Subscriptions, Pricing, and Billing
Pricing
Current pricing is published at kaizai.io/pricing. The price you see at checkout is the price you will be charged. We do not run discount-then-snap-back pricing schemes.
Billing cycle
Subscriptions are billed monthly per Authorized User seat, in advance, via Stripe. Charges are non-refundable except where required by law.
Seat changes
Adding seats prorates against your current cycle. Removing seats takes effect at the start of the next cycle.
Price changes
We may change pricing for new Subscriptions at any time. For existing Subscriptions, we will give at least 30 days' notice before any price increase takes effect, and the increase will not apply until your next renewal.
Failed payment
If a charge fails, we will retry and notify you. Persistent failure may result in suspension of the Service until payment is resolved. Your tenant will not be deleted during a brief grace period; we will communicate the timeline before any data is purged.
Taxes
Prices are exclusive of any sales, VAT, GST, or similar taxes. You are responsible for these where applicable.
5. Trials
We may offer time-limited Trials. Trials do not automatically convert to paid subscriptions. If you do not subscribe before the Trial ends, your Service access will end and your tenant will be paused. We do not auto-charge a payment method on file at Trial expiry.
We may revoke a Trial at any time at our discretion, including for suspected abuse, non-compliance with these Terms, or operational reasons.
As-is, no SLA. Trials are provided as-is, with no service level agreement, no uptime guarantee, and no support obligations beyond what we choose to extend at our discretion. The Enterprise Support add-on is not included with Trials.
Not for production. Use at your own risk. Trials are intended for testing and evaluation only. You acknowledge that deploying the Service in any environment carries inherent risk that may result in damage, data loss, service outages, security incidents, or other operational disruption to your environment. You agree to use Trials at your own sole risk. KAiZAI is not responsible or liable for damages, losses, or costs arising out of or related to your use of a Trial, including any use in a production environment.
6. Customer Data and Privacy
Ownership
You own your Customer Data. Nothing in these Terms transfers ownership of Customer Data to KAiZAI.
Our license
You grant us a limited license to host, store, transmit, and display Customer Data solely to provide and improve the Service for you, prevent abuse, comply with law, and provide support. We do not use Customer Data to train any model. We do not analyze, aggregate, or enrich Customer Data for our own commercial purposes outside what is necessary to operate the Service for you.
Logs and audit trails
As part of the Service, we generate audit logs of agent activity. These logs are part of Customer Data and are forwarded to your designated SIEM and made available in your tenant. Retention defaults are documented in product documentation; you can request export.
Privacy
Our Privacy Policy describes how we handle personal data and applies to your use of the Service.
Security
We use commercially reasonable technical and organizational measures to protect Customer Data. We are not currently SOC 2, ISO 27001, FedRAMP, or HIPAA certified; if you require a specific compliance posture, contact us before purchasing.
7. Acceptable Use and Prohibited Conduct
You and your Authorized Users may not:
- Use the Service to violate applicable law or third-party rights, including IP and privacy rights.
- Reverse-engineer, decompile, or attempt to derive source code, except as permitted by applicable law.
- Probe, scan, or test the vulnerability of the Service without prior written permission, including penetration testing of our infrastructure.
- Send malware, conduct phishing, or use the Service to attack or abuse third parties.
- Resell, sublicense, or rent access to the Service except as expressly permitted.
- Bypass quotas, rate limits, or technical restrictions.
- Use the Service to develop a competing product.
- Submit content that is unlawful, harassing, defamatory, or otherwise objectionable.
- Connect the Service to systems containing personal data in categories you are not authorized to process under applicable law.
- Interfere with KAiZAI's monitoring, telemetry, or usage-reporting capabilities, or attempt to obscure or under-report your use of the Service.
You are responsible for ensuring AI agent outputs are appropriate before relying on them in your operations. AI is not deterministic; outputs may be inaccurate, biased, or otherwise wrong. The Service does not validate factual correctness of agent outputs.
Responsibility for AI agent actions. You are responsible for the configuration and actions of any AI agent you connect to the Service. Any activity conducted by or on behalf of an AI agent connected to the Service is deemed your activity for purposes of these Terms.
Usage monitoring. We may monitor your use of the Service to verify limits, detect abuse, support billing, and improve the Service.
8. Service Availability and Support
Reasonable efforts. We use commercially reasonable efforts to keep the Service available. We do not guarantee uninterrupted or error-free operation in standard tiers.
SLAs. Specific uptime and response-time service level agreements are available with the Enterprise Support add-on. Without that add-on, no SLA applies.
Maintenance. We may perform planned and emergency maintenance. We will provide reasonable advance notice for planned maintenance affecting availability.
Support channels. Standard support is provided via email and the contact form. Phone escalation requires the Enterprise Support add-on.
9. Third-Party Services
The Service relies on or interoperates with third-party services, including without limitation Stripe (payments), Cloudflare (hosting and edge), Resend (transactional email), and AI model providers selected by you (e.g., Anthropic, OpenAI, Google). Use of those services is subject to their own terms. We are not responsible for the acts, omissions, availability, or performance of third-party services.
You are responsible for ensuring you have appropriate rights and licenses to connect your services and data to KAiZAI.
10. Intellectual Property
KAiZAI's IP. We and our licensors own all right, title, and interest in the Service, including software, designs, documentation, and trademarks. Nothing in these Terms grants you any rights to KAiZAI IP except the limited right to use the Service as expressly described here.
Feedback. If you send us suggestions, ideas, or feedback, you grant us a perpetual, irrevocable, worldwide, royalty-free license to use it without compensation or attribution.
11. Term and Termination
Term. These Terms apply for as long as you have access to the Service.
Cancellation by you. You may cancel a Subscription at any time through your tenant or by emailing us. Cancellation takes effect at the end of the current billing period. We do not provide refunds for partial billing periods.
Termination by us. We may suspend or terminate your access for material breach of these Terms, persistent non-payment, suspected fraud or abuse, or as required to comply with law. We will give reasonable notice when feasible.
Effect of termination. On termination, your tenant becomes inaccessible. We will retain Customer Data for 30 days after termination during which you may request export. After that period, we may delete Customer Data permanently. Provisions intended to survive termination (sections 6, 9, 10, 11, 12, 13, 14, and 17) will survive.
12. Warranty Disclaimers
The Service is provided "as is" and "as available." To the maximum extent permitted by law, KAiZAI disclaims all warranties, express or implied, including without limitation implied warranties of merchantability, fitness for a particular purpose, non-infringement, and any warranties arising from course of dealing or usage of trade.
We do not warrant that the Service will be error-free, uninterrupted, or that AI agent outputs will be accurate, complete, or appropriate for your use case. You are solely responsible for reviewing and validating AI agent outputs before relying on them.
13. Limitation of Liability
To the maximum extent permitted by law, in no event will KAiZAI be liable for any indirect, incidental, special, consequential, or punitive damages, or for lost profits, revenue, data, or goodwill, arising out of or related to these Terms or the Service, even if advised of the possibility of such damages.
KAiZAI's aggregate liability arising out of or related to these Terms will not exceed the total fees paid or payable by you to KAiZAI in the 12 months preceding the event giving rise to the liability. For free trials, KAiZAI's aggregate liability will not exceed $100.
Some jurisdictions do not allow the exclusion or limitation of certain damages. In those jurisdictions, our liability will be limited to the maximum extent permitted by law.
14. Indemnification
By you.You will defend and indemnify KAiZAI against claims arising from your or your Authorized Users' use of the Service in violation of these Terms or applicable law, including claims related to your Customer Data, your AI agent prompts and outputs, and your use of the Service to interact with third-party systems you did not have authority to access.
By us.We will defend and indemnify you against third-party claims that the Service, when used as authorized, infringes that third party's US intellectual property rights, subject to standard exclusions (claims arising from your Customer Data, your modifications, your combination of the Service with other products, or your use after we have notified you to stop).
15. Governing Law and Disputes
These Terms are governed by the laws of the State of Washington, without regard to its conflict-of-laws principles. Any dispute arising under these Terms will be resolved exclusively in the state and federal courts located in King County, Washington. The parties waive any objection to venue in that forum.
The UN Convention on Contracts for the International Sale of Goods does not apply.
16. Modifications to These Terms
We may update these Terms from time to time. We will post the updated version with a new effective date and notify you by email or in-product notice for material changes at least 30 days before they take effect. Your continued use of the Service after the effective date constitutes acceptance.
17. Miscellaneous
Entire agreement. These Terms (together with the Privacy Policy and any order form or written addendum) are the entire agreement between you and KAiZAI regarding the Service.
No assignment. You may not assign these Terms without our prior written consent. We may assign these Terms in connection with a merger, acquisition, or sale of substantially all of our assets.
Severability. If any provision is held unenforceable, the remaining provisions will remain in full force.
No waiver. Failure to enforce a provision is not a waiver.
Force majeure. Neither party is liable for delays or failures caused by events beyond reasonable control, including natural disasters, acts of war, government action, or third-party service outages.
